Introduction

Welcome to Hupo Philippines Inc., a premiere company in custom bathroom solutions. This document outlines our terms and conditions, ensuring a transparent and satisfactory experience for both parties.


Quotation Acceptance

Read and Understood: The client has received, read, and understood the Terms and Conditions set forth by the Company, as outlined in this document. The client acknowledges that these Terms and Conditions govern all aspects of the relationship between the client and the Company, including but not limited to the ordering process, production, delivery, installation, warranties, liabilities, and dispute resolution.


  • Agreement to Terms: The client agrees to be bound by these Terms and Conditions upon acceptance of the quote. The acceptance of the quote signifies the client's consent to adhere to all policies, responsibilities, and obligations as described in the Terms and Conditions document.
  • Confirmation of Details: By accepting the quote, the client confirms that all details within the quote, including the description of the products, pricing, lead times, and any special instructions or requests, are accurate and meet the client’s requirements.
  • Electronic or Written Acceptance: Acceptance of the quote may be provided electronically via email or through a signed written document. Either method of acceptance constitutes a binding agreement between the client and the Company, affirming the client’s agreement to these Terms and Conditions.


Payment Terms

The Client shall make payments to the Hupo Philippines in accordance with the  following Schedule:

  • 50% of the total amount due shall be paid upon acceptance of the offer.
  • 50% of the total amount due shall be paid upon confirmation of delivery.

Unless the client has a pre-arranged account in writing with Hupo Philippines on the payment terms, all orders must be paid in full prior to being delivered.

All remaining balance must be satisfied in full at the time of completion of the installation by Hupo Philippines. If the balance is not satisfied at the time of completion, Hupo Philippines reserves the right to remove the enclosure(s) until the balance is paid in full.  


Shop Drawing

The creation and approval of the shop drawing are important steps in the manufacturing and installation processes. Our team is dedicated to providing the best possible product to our clients, and we do so by following a simple and straightforward process. The shop drawing will be created based on the final inspection and measurement performed at the site, and it will be submitted for the client's approval within three (3) to five (5) days, depending on the complexity of the project and provided that a down payment has been made.

It is the client's responsibility to sign off on the shop drawing after verifying and confirming all dimensions, design, lay-out, specifications, drill hole location (safe from water and electrical pipes), and other provisions. We will do our best to ensure that the shop drawing accurately reflects the final product, but it is the responsibility of the client to review and approve it before manufacturing and installation begin.

It is important to note that how we manufacture and install the product is based solely on the approved shop drawing. Therefore, it is crucial that the client carefully reviews and approves the shop drawing to ensure that the final product meets his/her/its expectations. We take pride in our work and are committed to delivering the best possible product to our clients, and the shop drawing is a crucial step in this process.


Sales Tax

Please note that Hupo Philippines is required to charge sales tax on all orders that are shipped to, delivered to, or picked up in unless stated otherwise.


Installation Services

  • Installation Schedule: The Company will provide the client with a proposed installation date upon completion of the Products. The client agrees to allow access to the installation site on the agreed date and time. If the client needs to reschedule, they must notify the Company at least 48 hours in advance.
  • Preparation of Installation Site: The client is responsible for ensuring that the installation site is prepared according to the Company’s guidelines and is ready for installation upon the Company's arrival. This includes, but is not limited to, clearing the area of obstructions, ensuring structural integrity where the Products will be installed, and confirming that measurements of the installation site match those provided during the quoting process.
  • Access and Safety: The client agrees to provide safe and reasonable access to the installation site for the Company’s personnel and equipment. The client shall inform the Company of any known hazards or safety concerns associated with the installation site prior to installation.
  • Inspection and Acceptance: Upon completion of the installation, the client is required to inspect the Products and installation quality in the presence of the Company’s representative. The client’s sign-off on the installation completion form will be considered as acceptance of the installation and the condition of the Products as meeting the agreed specifications and quality standards.
  • Adjustments and Corrections: Should the client identify any issues during the inspection, the Company agrees to make necessary adjustments or corrections to meet the agreed specifications and quality standards, subject to the terms of the warranty provided under Clause 3: Warranties and Claims.
  • Liability for Damage: The Company is responsible for any damage to the Products or property directly caused by its installation activities, excluding any incidents arising from existing structural issues or incorrect information provided by the client. The Company's liability is limited to repair, replacement, or compensation at the Company’s discretion.
  • Third-Party Installers: If the installation is to be conducted by a third-party installer authorized by the Company, the same terms and conditions apply. The Company remains responsible for coordinating with the third-party installer to ensure compliance with these terms.
  • Completion Timeline: The Company will make every reasonable effort to complete the installation within the agreed timeframe. However, the client acknowledges that unforeseen circumstances may cause delays. The Company will communicate any changes to the installation schedule as soon as possible.


Ship-Out Orders and Deliveries

Hupo Philippines requires the client to take his/her/its own measurements to choose the right product. Once the purchase is made, Hupo Philippines will send a shop drawing with the measurements and design to be confirmed and approved by the client. Upon approval of the shop drawing, production will commence and will be scheduled for delivery to the client within twenty-five (25) to thirty (30) days.

Hupo Philippines will use its best efforts to ensure timely delivery of the goods to the buyer. All delivery orders include cargo insurance, which is applied to protect the goods during transport against loss or damage. The cargo insurance coverage is subject to the terms and conditions of the policy and is based on the value of the goods at the time of shipment. Hupo Philippines shall not be liable for any loss or damage to the goods during transport.

The buyer agrees and understands that any delivery dates given by Hupo Philippines are only estimates and cannot be guaranteed. Hupo Philippines will not be responsible for any loss or damage caused by a delivery delay attributable to the courier. This includes, but is not limited to, loss of profit, loss of opportunity, and any indirect, special, or consequential damages. The buyer shall not hold Hupo Philippines liable for any such delays and shall look solely to the courier for any remedies related to such delays.

It is the buyer's responsibility to inspect the goods upon receipt and report any loss or damage to Hupo Philippines within twenty four (24) hours from delivery. Failure to report any loss or damage within this timeframe may result in the denial of a cargo insurance claim. The buyer shall cooperate fully with Hupo Philippines in the event of a loss or damage claim, including providing any necessary documentation and information. Once the package is returned to Hupo Philippines, we will assess the damage and re-make any glass that is damaged or broken.


Lead Time

At Hupo Philippines, we understand that your time is valuable, and we want to make sure that we deliver high-quality work in a timely manner. We will do our best to complete the project within a lead time of thirty (30) to sixty (60) days, which includes a series of quality controls. Please note that the lead time will start upon approval of the shop drawing based on the final measurement at the site.

In the event of a revision after approval of the shop drawing, the lead time will reset and a variation cost will apply. However, we will work closely with you to ensure that any changes are completed as quickly and efficiently as possible, while still maintaining our high standards of quality.

Please note that the lead time will not start upon down payment. We want to make sure that we have all the necessary information and approvals before we begin work, so that we can deliver the best possible product to you. Rest assured that we will do our best to complete the project within the promised lead time, while ensuring that the final product meets your expectations.


Cancellations or Refunds

Every piece of glass made by Hupo Philippines is unique and one of a kind. All of our shower doors and glass products are custom-made for the client only and cannot be used in any other opening. Once the glass is cut, there are no cancellations or refunds and the client is obliged to receive his/her/its custom-made glass product.


Delays

Hupo Philippines’ goal is to custom make your glass product within thirty (30) to forty (40) business days from the time of the approval of the shop drawing based on the final measurements. Hupo Philippines is not liable for any delays due to third party carriers, lost shipments, acts of God, weather, machinery down time, loss of internet connection, out of stock glass or hardware, or any other unforeseen event out of the control of Hupo Philippines, and any other analogous circumstances. Hupo Philippines will do its best to notify the client, informing him/her/it of any delays, and will give the client an exact or approximate delivery time. 


Glass and Mirror

Glass is a man-made product. Every piece of glass contains various types of flaws or blemishes that could be visible to the naked eye. Even the best glass available on the market may contain minor defects. The international standards mandate that no defects should be visible in the glass when it is viewed vertically or horizontally from a distance of eleven (11) feet away under normal lighting conditions. All of our glasses meet or exceed these standards set forth by the industry. Any re-making of glass due to normal blemishes will be at the sole discretion of Hupo Philippines and will be based on industry standard tolerance levels. Warping of glass is common and may occur during the tempering process. This will remain within the accepted tempering association’s guidelines. Specifications are only available upon request from the client.

The glass manufacturing industry and Hupo Philippines have an accepted cutting tolerance level so all glass sizes can vary plus (+) or minus (-) up to ⅛”. If your glass is within these tolerance levels, Hupo Philippines will not be responsible for any re-makes of new glass whatsoever. Vertical gaps on doors may vary from 1/16” to ⅜” depending on the configuration. All pivot or wall-mounted doors will typically have a 3/8” to ½” gap on top and bottom. Vinyl seals are included at the time of purchase or installation. After some time, the vinyl seals may discolor or deteriorate. These seals are considered a wear-and-tear item and will not be replaced by Hupo Philippines unless paid for by the client. 

All glasses have a greenish hue or tint due to the iron content in the glass. This greenish hue can vary due to the size and thickness of the glass. Ultra-clear glass has a lesser greenish hue and can also vary due to the size and thickness of the glass. All of our tempered glass are tested and approved to make sure that they are the best in the business.


Installations and Repairs 

Hupo Philippines’ objective is to design and install your unit with a “tight as possible” installation. Due to circumstances out of our control, glass cannot conform to bellies, bows, uneven tile or poor workmanship performed by tile contractors. Hupo Philippines will not be responsible for any structural integrity of the wall or any other mounting surface. Hupo Philippines will not assume any responsibility for cracked surface material due to installation or removal of existing products. All units require hole drilling in tile, marble, granite, and in some cases, notching of bull nose or decorative border tiles. Also, on occasion, we need to drill into cast iron or fiberglass tubs to safely secure the unit. With glass tiles, Hupo Philippines may recommend drilling through grout lines only to secure enclosure. Glass tiles as well as porcelain and ceramic will on occasion crack while drilling. Hupo Philippines will not be held responsible to repair or replace any tiles that break due to normal drilling. We require the client, if walls and floors are of rare and expensive kind, to contact a specialty worker to do the drilling. Any tile or surface damage that may result in the removal of an existing unit or upon an installation of a new unit is to be corrected by the client at his/her/its expense. Shower bases/tubs with an incorrect pitch can cause water damage. Incorrect pitched sills may drain water onto the outside floor. A threshold will be installed by Hupo Philippines under any door where the curb is pitched wrong or off level towards the outside of the enclosure. If the client refuses this threshold upon the initial installation, Hupo Philippines will charge a service fee at a minimum of Three Thousand Five Hundred Pesos (PhP 3,500.00) to go back and install one after the initial installation has occurred. Opening the door outward can cause water to drain down on the bathroom floor. Correctly built stalls following quality construction will eliminate most of the above problems. Although the doors and enclosures are manufactured to fit given sizes, there may be steam or water leakage, especially in a direct spray situation. The client is to take into consideration the positioning and aim of the showerhead(s), water pressure, body sprays, and any detachable shower sprayers. Please keep in mind that a frameless shower is made to deflect water, not retain it. All glass will be centered on the curb or tub, unless otherwise specified in writing by Hupo Philippines or the client. Glass-hinged doors swing in and out unless the lay-out of the opening dictates otherwise.

Hupo Philippines will assume no liability due to unforeseen conditions such as drilling into pipes that are hidden behind walls where drilling is necessary. This will be confirmed by the approval of the shop drawing prior to glass fabrication. Hupo Philippines requests that the contractor or homeowner notify Hupo Philippines prior to drilling if a pipe is in the area where a hole is needed. Hupo Philippines will re-design and work around a pipe if notified prior to design and installation.

Any special costs for fabrication and transporting glass where we do not have accessibility, such as stairs or an elevator, will be at the client's expense. (Example: Lift).

All drawings done by Hupo Philippines are not to scale and may not be 100% accurate.

Depending on the lay-out of the opening, mitered glass doors mounted on or near angled walls can sometimes only be opened one way. All handles, hooks, and towel bars will be installed at our standard height unless otherwise instructed by the client and put in writing on the proposal or invoice. Towel bars and hooks are optional and will be at the client’s request; they must appear on the signed proposal or invoice. Any problems with the glass or hardware, like scratches, chips, etc., must be reported to Hupo Philippines within twenty four (24) hours from installation. The buyer must also send photos of the problems to the company. Small, hair-like scratches are common, as are “dot like” spots embedded within the glass. You, the client, acknowledge that these flaws may be visible at any time, especially when there is a window inside the shower or room.

If the client wants to re-schedule a pre-scheduled installation or repair, he/she/it must contact Hupo Philippines via phone or electronic mail (e-mail) twenty four (24) hours prior to his/her/its scheduled appointment. Otherwise, a re-scheduling fee of Three Thousand Five Hundred Pesos (PhP 3,500.00) will apply.

If Hupo Philippines arrives at a pre-scheduled appointment and the client is absent, a penalty of Six Thousand Pesos (PhP 6,000.00) for re-stocking and/or re-scheduling shall apply.


Removals and Dismantling

If Hupo Philippines must remove an existing glass product, Hupo Philippines will not be held liable for any damage to walls, tiles, furniture or any other items in the bathroom while removing the product. Hupo Philippines will attempt to cover existing holes that were hidden behind the old product. Due to conditions & configurations, as well as thickness differences from the larger framed metal enclosures to the thinner frameless glass enclosures, Hupo Philippines will not be responsible or be expected to cover or fill these holes that were originally drilled to support the old unit. After removing existing products, you may see discoloration or stains on tile, cultured marble, marble, granite, etc. which are common. Hupo Philippines will not be responsible to remove any such stains after removal. Hupo Philippines will dispose of the old product at the client’s request at the time of removal.


Warranties and Maintenance

All warranty claims are subject to inspection by Hupo Philippines.

Shower Enclosures

Hupo Philippines warrants all of our shower door installations and hardware for one (1) year from the date of installation against workmanship and manufacturing defects. If you suspect that the original installation is failing at any point during this period, we will come and verify the problem, access the problem, and make any necessary repairs at no cost. After the first year, there will be a PhP 3,500 minimum service and mobilization charge, plus any required parts for any service/repair requests.

LED Mirrors

Hupo Philippines warrants all of our LED mirror installations and electronics for one (2) year from the date of installation against workmanship and manufacturing defects. If you suspect that the original installation is failing at any point during this period, we will come and verify the problem, access the problem, and make any necessary repairs at no cost. After the first year, there will be a PhP 3,500 minimum service and mobilization charge, plus any required parts for any service/repair requests.

  • Vinyl sweeps, seals, and door stops are not covered by the warranty. Keep in mind that replacing these materials is considered routine maintenance and must be done on a regular basis; thus, they are the responsibility of the owner.
  • The warranty does not cover mold growth on silicone caulk or tile. Mold can grow in dirty places or from stagnant water.
  • There is no warranty against glass breakage or chipping once the product has left our care and custody. If breakage occurs at any time, we will make every reasonable effort to replace it as soon as possible at the most reasonable price. Glass manufacturer defects do occur on occasion and are usually within acceptable industry standards. If we overlooked something during our inspection, you will have up to fourteen (14) days from the installation date to bring it to our attention.
  • This warranty does not cover damage caused by faulty design of your home or business, adjustments required due to house settling, misuse, careless handling, alteration, misapplication, improper use of cleaning products, accidents, owner negligence, abuse, or acts of nature.
  • The use of harsh, unusual, or abrasive chemical cleaning products will void the warranty; please follow the maintenance guidelines provided.
  • Discoloration or stains caused by poor water chemistry, as well as hard and unfiltered well water, are not covered.
  • Water leakage on any frameless or semi-frameless shower enclosure is not covered by this warranty. Due to the nature and design of these products, achieving a watertight seal when no frame is used is not always possible.
  • All sales are final. We do not issue refunds.
  • Our warranty is offered to the original client and only as it relates to the original installation.

Maintenance

The best way to keep your glass sparkling clean is to wipe it down with a squeegee after each use. This eliminates the possibility of water and soap residue drying on the glass surface. After using a squeegee, dry the frame and hardware with a clean soft towel or microfiber cloth. Avoid using any acid-based cleaning solutions for light cleaning because they can damage the metal or glass of your enclosure. Use a vinegar and water solution instead, or a denatured alcohol and water solution. A few drops of a mild soap, such as dishwashing liquid, and warm water can also be used.

REMEMBER: The handles, towel bars, and hinges are NOT intended to support your weight; grab bars are. Never lean on the glass or use force to push or pull on it, as this can weaken the entire unit and cause significant damage. Your door hinges are designed to self-center within five (5) degrees and self-close from twenty-five (25) degrees.

NEVER USE abrasive powders, abrasive pads, steel wool, or bleach or ammonia-containing products. These harsh chemicals can corrode your hardware and compromise the silicone seals. Maintaining your vinyl door sweep (if included) is also important. Because seals, like windshield wipers, are subject to friction wear, they are designed to be replaceable and are not warranted. Simply clean your door sweep with a mild soap and warm water to prolong its life. Use no bleach, ammonia, or other harsh chemicals that will cause the seals to become brittle and discolored.

Additional information to know

Frameless shower doors are not watertight. A frameless shower door has small gaps in the hinges, seams, and around the door by design. Because the unit lacks the traditional thick metal frames, there are gaps. The gaps are necessary to ensure that the door operates properly. There are vinyl seals that are added to reduce leakage, such as a bottom door sweep or a strike if your unit has a door and panel. Although vinyls are helpful, it may not completely eliminate water leaking out. Here are some things to avoid and tips to help you avoid water leaks:

  • The construction of your opening must be done correctly. Making sure your walls are plumb, level, and square will help everything fit together more smoothly and look the best when finished.
  • The shower curb tile should slope slightly toward the shower. If the tile slopes out, water will naturally follow gravity and may end up outside your shower.
  • Never direct a shower head or water spray directly at a frameless shower door or panels! Although the vinyl seals aid in water tightness, a glass shower door is not an aquarium.

Although we try to point out any potential issues when measuring (for example, tile slopes the wrong way, walls that are not plumb and level, or shower head orientation), we cannot always tell what will or will not become an issue. Every year, we install thousands of frameless shower enclosures and have very few water leakage reports. We cannot provide a warranty against water leakage due to the nature of frameless shower enclosures.

Limited 3-Year Warranty for GlassGuard and SteelGuard

Every shower door treated with GlassGuard is backed by a 3-year warranty, as long as the basic manufacturer care recommendations are followed. 

Limitation of Liability

Our liability to the buyer, whether in contract, in tort, under any warranty, in negligence, or otherwise, shall not exceed in any case the return of the amount of the purchase price paid by the buyer, and under no circumstances shall we be liable for special, indirect, or consequential damages. The price stated for the goods is consideration for limiting the seller’s liability. No action, regardless of form, arising out of the transaction between the seller and the buyer may be brought by the buyer after the date of receipt of the goods. Without limitation of the foregoing, in no event will we be responsible or liable for (a) penalties or penalty clauses of any description, or (b) indemnification of buyer or others for costs, damages or expenses arising out of or related to the goods. All orders, since each unit is custom-made, are final, subject only to the exceptions stated herein. Hupo Philippines will not assume financial responsibility for construction delays for any reason. Hupo Philippines is not responsible for losses or damages to others caused by risks that are beyond the reasonable control of Hupo Philippines, and not as a result of Hupo Philippines’ negligence.

Should Hupo Philippines be required to retain the services of an attorney relating to any transaction with a client, Hupo Philippines shall be entitled to reasonable attorney’s fees, court costs, and other expenses incurred by Hupo Philippines, whether or not suit is filed. The terms of this agreement shall be interpreted and construed pursuant to the laws of the Republic of the Philippines.

If you have a claim against Hupo Philippines, you must provide written notice to Hupo Philippines and allow Hupo Philippines to have ninety (90) days to cure any alleged monetary or non-monetary breaches prior to having the ability to file a lawsuit.


Disparagement and Social Media

The Client acknowledges and agrees that, under the Philippine laws, any defamatory/libelous statement made against the Supplier, its directors, officers, employees, agents, or affiliates may result in civil and/or criminal liability. Consequently, the Client shall not make any false or defamatory statements about the Supplier, its directors, officers, employees, agents, or affiliates, or any other person or entity in connection with the work performed under this Agreement. The Client also agrees to indemnify and hold harmless the Supplier, its directors, officers, employees, agents, and affiliates from any and all claims, damages, losses, and expenses arising from or related to any defamatory / libelous statement made by the Client.

The Client also agrees not to post any negative publicity, comments, or reviews about the Supplier, its directors, officers, employees, agents, or affiliates on any social media platforms, online review sites, or other public forums without giving the Supplier an opportunity to address any concerns or complaints in good faith. The Client understands and agrees that any defamatory / libelous, false, or misleading post, comment, or review that could reasonably be expected to harm the reputation of the Supplier, its directors, officers, employees, agents, or affiliates may result in legal action against the Client.

The Client agrees that, in the event of a breach of this provision, the Supplier shall be entitled to pursue all available legal remedies, including, but not limited to, injunctive relief, damages, and attorney's fees. The Client also acknowledges that, under Philippine laws, moral damages may be recovered in cases of libel, slander, or any other form of defamation, per Civil Code Article 2219(7).

Any violation of this provision shall constitute a material breach of this Agreement and shall entitle the Supplier to immediately terminate this Agreement without liability and pursue any legal remedies available under Philippine laws.


Indemnification

The Client agrees to indemnify and hold harmless the Supplier, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or related to the work performed by the Supplier under this Agreement, except to the extent such claims, damages, losses, liabilities, costs, and expenses arise from the gross negligence or willful misconduct of the Supplier. This indemnification obligation shall survive the termination or expiration of this Agreement.


Confidentiality

Both parties shall maintain the confidentiality of all information, data, and documents provided to them by the other party in connection with this Agreement. Neither party shall disclose any such information to any third party without the prior written consent of the other party. This confidentiality obligation shall survive the termination or expiration of this Agreement.


Force Majeure

Neither party shall be liable for any delay or failure in performance of its obligations under this Agreement due to any cause beyond its control, including, but not limited to, acts of God, war, terrorism, strikes, labor disputes, or government orders. In the event of such delay or failure, the affected party shall be excused from performance for as long as such cause continues and shall not be liable for any damages arising from such delay or failure.


GOVERNING LAWS, VENUE, AND DAMAGES

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising out of or related to this Agreement shall be resolved through mediation or, if necessary, through binding arbitration in accordance with the rules of the Construction Industry Arbitration Commission (CIAC). Any decision reached through arbitration shall be binding upon the parties, unless other remedies are availed of.

Any action/s arising therefrom shall be brought by the Parties, their successors or assigns, for the purpose of enforcing their rights therein set forth, exclusively before a competent court of Taytay, Rizal. In the event the Supplier is compelled to seek a judicial relief against the client, the latter shall pay the corresponding attorney's fees aside from the costs and expenses of litigation, and other expenses which the law may entitle the Supplier to recover from the client plus ten percent (10%) of the cost of the award as the basis for its claim for liquidated damages.

Entire Agreement

This Agreement constitutes the entire understanding of the parties and supersedes all prior negotiations and understandings. This Agreement may not be amended or modified except in writing signed by both parties.
